1. Overview of the Service

LystGenie is a coordination and discovery platform. It enables users to:

• Create and share wish lists ("WishLysts")
• Organize group tasks ("TaskLysts")
• Track budgets and shared purchases ("SpendLysts")
• Discover products through third-party retailers
• Use tools such as AI gift suggestions, product search, and group coordination features

LystGenie does not sell, ship, or fulfill products directly. All purchases are made through third-party retailers.

2. Eligibility and Account Registration

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. LystGenie does not knowingly collect personal information from children under 13. If we learn that we have collected information from a child under 13, we will delete it as soon as practicable. If you are under 18, you may only use the Service with the involvement of a parent or legal guardian.

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your account credentials
• Notify us promptly of any unauthorized use of your account
• Take responsibility for all activity that occurs under your account

We may refuse, suspend, or terminate any account at our discretion, including for violation of these Terms.

3. License to Use the Service

Subject to your compliance with these Terms, LystGenie grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use.

You may not:

• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service
• Modify, adapt, translate, or create derivative works of the Service
• Use the Service to develop a competing product
• Use any robot, spider, scraper, or other automated means to access the Service without our written permission
• Remove or alter any proprietary notices displayed within the Service

All rights not expressly granted to you in these Terms are reserved by LystGenie.

4. SMS Messaging and Notifications

By providing your mobile phone number, you consent to receive SMS messages from LystGenie related to:

• Account verification (one-time passcodes)
• Security alerts
• Important service-related notifications

You may also receive push notifications through the LystGenie app. You can manage push notifications through your device settings at any time.

5. Shared Profiles, Lists, and Group Visibility

LystGenie is designed for group collaboration. By using the Service, you acknowledge and agree:

• Information you add to your profile (names, sizes, preferences, photos, dates, and other attributes) may be visible to members of your shared lists or groups.
• WishLysts, TaskLysts, SpendLysts, and activity within them may be viewed, updated, or interacted with by invited participants.
• When you invite or join a group, you grant other participants the right to view information you have shared in that group.
• You are responsible for the information you choose to share and with whom.

LystGenie is not responsible for how other users view, use, copy, share, or interpret information you make available within shared lists or groups.

6. Information About Third Parties

Many LystGenie features involve recording information about people other than yourself — for example, gift preferences for family members, friends, or children, or assigning tasks to others. By doing so, you represent and warrant that:

• You have the right and authority to add such information to the Service.
• For information about minors, you are the parent, legal guardian, or otherwise authorized to act on their behalf.
• The information you add is accurate to the best of your knowledge and is not intended to harm, harass, or violate the privacy of the person it concerns.

You are solely responsible for the information you record about third parties. If a third party requests that information about them be removed from the Service, contact support@lystgenie.com.

7. Platform Features and Tools

The following provisions apply to specific features within the Service.

7.1 AI Gift Suggestions and Recommendations

LystGenie may use artificial intelligence to provide gift suggestions, product recommendations, and other automated insights based on your inputs and activity. These outputs are generated automatically and are provided for informational and inspirational purposes only.

• AI-generated content may be inaccurate, incomplete, or unsuitable for your needs.
• LystGenie does not guarantee the accuracy, completeness, or appropriateness of any AI-generated suggestion.
• You should independently evaluate any product or recommendation before making a purchase decision.

7.2 Product Search and Retail Integration

The Service allows you to search and view products available from third-party retailers, including but not limited to Amazon, Walmart, Target, and others.

• Product information, pricing, availability, and descriptions are provided by third parties and may change at any time without notice.
• LystGenie does not guarantee the accuracy or completeness of third-party product data.
• All transactions are completed on third-party websites and are subject to those retailers' terms, privacy policies, and return policies.

7.3 Group Coordination Tools

LystGenie offers tools to facilitate group activities, including (but not limited to) Secret Santa, White Elephant, RSVP tracking, name randomization, and gift claiming.

• These tools are provided for convenience and entertainment.
• LystGenie does not guarantee fairness, randomness, or specific outcomes.
• LystGenie does not facilitate payment, shipping, or fulfillment of gift exchanges.
• LystGenie is not a party to any agreement between users and is not responsible for disputes, misunderstandings, or failures arising from group activities. Disputes between participants must be resolved between them.

7.4 User-Provided Attributes

Users may provide personal attributes (sizes, preferences, interests, dates) to help personalize the experience.

• This information is user-provided and not independently verified by LystGenie.
• LystGenie is not responsible for outcomes based on inaccurate, outdated, or incomplete attribute information.

7.5 User Identity and Names

• Users may choose how they are identified within the Service (display names, profile names).
• LystGenie does not independently verify user identity at registration.
• You are responsible for the accuracy of the information you provide about yourself.

8. Third-Party Products and Affiliate Links

LystGenie includes links to third-party retailers and may earn commissions when you click certain links and complete purchases. LystGenie is not a party to any transaction between you and a third-party retailer.

• LystGenie does not sell, ship, or fulfill products.
• All purchases are made directly with the third-party retailer, subject to their terms.
• LystGenie is not responsible for product quality, accuracy of listings, shipping, returns, refunds, warranty, or any other aspect of a transaction with a third-party retailer.

9. User Content

You may create, post, store, and share content through the Service, including wish lists, task lists, notes, photos, profile information, and comments ("User Content").

You retain ownership of your User Content. By submitting User Content, you grant LystGenie a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, display, distribute, and create derivative works of your User Content solely for the purpose of operating, providing, improving, and promoting the Service.

You represent and warrant that:

• You own or have the necessary rights to your User Content.
• Your User Content does not infringe the intellectual property, privacy, or other rights of any third party.
• Your User Content complies with these Terms and applicable law.

LystGenie does not endorse, verify, or guarantee the accuracy of User Content. We may, but are not obligated to, monitor, review, or remove User Content at our discretion.

10. AI and Machine Learning

You acknowledge and agree that LystGenie may use de-identified, aggregated, or anonymized data derived from your use of the Service to:

• Train, develop, evaluate, and improve our AI features, models, and algorithms;
• Improve product recommendations, gift suggestions, and personalization;
• Generate insights and analytics about Service usage;
• Develop new features and products.

LystGenie will not use information that personally identifies you to train publicly available AI models without your separate consent. Where required by applicable law, additional choices about AI processing may be made available in your account settings or in our Privacy Policy.

11. Acceptable Use

You agree not to use the Service in any way that:

• Violates any applicable law, regulation, or third-party right;
• Infringes intellectual property rights, including copyright, trademark, or trade secret rights;
• Is fraudulent, false, misleading, defamatory, or harmful;
• Harasses, threatens, bullies, intimidates, or targets others;
• Promotes hate speech, discrimination, or violence;
• Is sexually explicit, exploits children, or is otherwise inappropriate;
• Spams or sends unsolicited promotional messages to other users;
• Impersonates any person or entity, or misrepresents your affiliation;
• Uploads viruses, malware, or harmful code;
• Interferes with, disrupts, or attempts to circumvent the security of the Service;
• Uses any automated tools (bots, scrapers, crawlers) to access, monitor, or extract content from the Service without our written permission;
• Reverse engineers, decompiles, disassembles, or attempts to extract source code;
• Resells, sublicenses, or makes the Service available to others for commercial purposes without our written permission;
• Coordinates illegal purchases, transactions, or activities;
• Collects information about other users without their consent.

We may suspend or terminate accounts that violate these provisions, with or without notice.

12. Privacy and Data Use

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, share, and protect your information. Our Privacy Policy is incorporated into these Terms by reference.

By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. LystGenie does not sell your Personal Information to third parties.

You have certain rights regarding your personal information, including the right to access, correct, delete, or export your information. These rights are described in the Privacy Policy. To exercise your rights, contact support@lystgenie.com.

13. App Store Provisions

This Section applies if you download the LystGenie mobile application from the Apple App Store or Google Play Store.

13.1 Apple App Store

You acknowledge that these Terms are between you and LystGenie, not Apple Inc. Apple is not responsible for the LystGenie app or its content. Apple has no obligation to provide maintenance or support for the app.

• In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. Apple has no other warranty obligation.
• LystGenie is solely responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
• LystGenie is solely responsible for addressing any third-party claims that the app or your use of it infringes intellectual property rights.
• You represent that you are not located in a country subject to a U.S. Government embargo, or designated as a "terrorist supporting" country, and are not listed on any U.S. Government list of prohibited or restricted parties.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them as such.

13.2 Google Play Store

You acknowledge that these Terms are between you and LystGenie, not Google LLC. Google is not responsible for the LystGenie app or its content. Your use of the app is also subject to Google's Play Store Terms of Service.

14. DMCA Notice Procedure

LystGenie respects the intellectual property of others and expects users to do the same. If you believe that content available through the Service infringes your copyright, you may submit a notice of claimed infringement under the Digital Millennium Copyright Act ("DMCA") by contacting our designated agent:

Your notice must include:

1. A physical or electronic signature of the copyright owner or authorized representative;
2. Identification of the copyrighted work claimed to be infringed;
3. Identification of the allegedly infringing material and information sufficient for us to locate it;
4. Your contact information (address, phone number, and email);
5. A statement that you have a good-faith belief that the disputed use is not authorized;
6. A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.

We may remove allegedly infringing content and terminate the accounts of repeat infringers.

15. Account Deletion

You may delete your account at any time through the Settings section of the LystGenie app, or by contacting support@lystgenie.com.

Upon account deletion:

• Your account will be deactivated and your profile will no longer be visible to others.
• We will delete or anonymize your personal information within 30 days, subject to retention obligations under applicable law (such as for fraud prevention, tax, accounting, or compliance).
• Certain information may be retained in backups for a limited period.
• Content you have shared with others (such as gifts contributed to a group list) may remain visible to those participants after your account is deleted.

16. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

LystGenie does not warrant:

• That the Service will be uninterrupted, timely, secure, or error-free;
• The accuracy or completeness of any information available through the Service, including product information, AI-generated suggestions, and user-provided content;
• That defects in the Service will be corrected;
• The availability of third-party products, services, or websites linked from the Service.

To the maximum extent permitted by applicable law, LystGenie disclaims all warranties not expressly set forth in these Terms.

17. Limitation of Liability

To the maximum extent permitted by applicable law:

• LystGenie shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of the Service.
• LystGenie's total cumulative liability arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid LystGenie in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

18. Indemnification

You agree to indemnify, defend, and hold harmless LystGenie, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service;
• Your User Content;
• Your violation of these Terms or any applicable law;
• Your violation of any third party's rights, including intellectual property or privacy rights.

LystGenie reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

19. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

19.1 Informal Resolution

Before filing a formal dispute, you agree to attempt to resolve the dispute informally by contacting us at support@lystgenie.com. We will attempt to respond within 30 days.

19.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (a "Dispute") that is not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.

• The arbitration shall be conducted by a single arbitrator.
• The arbitration shall take place in Broward County, Florida or by video conference, at your option.
• The arbitrator's decision shall be final and binding.

19.3 Class Action Waiver

You agree that disputes with LystGenie will be resolved on an individual basis. You waive any right to participate in a class action, class arbitration, or representative action.

19.4 Jury Trial Waiver

You and LystGenie each waive the right to a trial by jury.

19.5 Opt-Out

You may opt out of the arbitration provision by sending written notice to support@lystgenie.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

19.6 Exceptions

Either party may bring an individual claim in small claims court or seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

20. Termination

We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, for any reason, including (without limitation) violation of these Terms.

Upon termination:

• Your right to use the Service ends immediately.
• Provisions of these Terms that by their nature should survive termination (including Sections 9, 10, 14, 16, 17, 18, 19, and 24) will survive.

We may provide notices to you by:

• Email to the address associated with your account;
• In-app notification or banner;
• Posting on the LystGenie website.

22. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" at the top of these Terms indicates when they were last revised.

• For non-material changes, continued use of the Service constitutes acceptance.
• For material changes, we will provide at least 30 days' advance notice (via email, in-app notification, or website banner) and, where required, request your affirmative re-acceptance.

If you do not agree to updated Terms, you must stop using the Service and may delete your account.

23. General Provisions

23.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LystGenie regarding the Service and supersede any prior agreements.

23.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

23.3 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

23.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. LystGenie may assign these Terms (including in connection with a merger, acquisition, or sale of assets) without notice or consent.

23.5 Force Majeure

Neither party is liable for failure or delay in performing obligations under these Terms due to events beyond reasonable control, including natural disasters, government actions, acts of war or terrorism, labor disputes, and Internet or telecommunications failures.

23.6 Headings

Section headings are for convenience only and do not affect interpretation.

24. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any judicial proceeding (where permitted under Section 19) shall be brought in the state or federal courts located in Broward County, Florida.
